Terms of Service

1. Acceptance of Terms

By accessing or using the advisedly.ai platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding agreement between you and Advisedly Compliance LLC ("Advisedly," "we," "us").

2. Service Description

Advisedly is an AI-powered governance, risk, and compliance (GRC) platform supporting CMMC, FedRAMP, HIPAA, ISO 27001, PCI-DSS, SOC 2, and 255+ additional frameworks via the Secure Controls Framework crosswalk. Services include compliance workflow management, vulnerability scan import, AI-powered document generation, and continuous monitoring.

3. Account Registration

You must provide accurate information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old and have organizational authority to bind your organization to these Terms.

4. Subscription & Payment

Access to the Platform requires a paid subscription. Subscriptions are billed monthly or annually as selected. Subscriptions auto-renew unless cancelled before the renewal date. Price changes are communicated with 30 days' notice. Annual subscriptions are pro-rated for early cancellation; monthly subscriptions are non-refundable.

5. Acceptable Use

You agree not to:

  • Use adversarial prompting to manipulate AI outputs
  • Generate false or misleading compliance statements
  • Attempt unauthorized access to other accounts or systems
  • Share account credentials with unauthorized parties
  • Use automated tools to scrape or extract platform data
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform for any illegal purpose

6. AI-Generated Content Disclaimer

Important Notice

AI-generated content on this Platform — including System Security Plans (SSPs), policies, Plan of Action & Milestones (POA&Ms), gap analyses, and remediation guidance — is provided as informational guidance only.

  • AI output does not constitute legal advice or compliance advice.
  • AI output does not guarantee certification, authorization, or regulatory approval.
  • You must review, validate, and take full responsibility for all AI-generated content before submission to assessors, auditors, or regulators.
  • Advisedly is not liable for failed audits, certification denials, regulatory actions, or any other consequences resulting from reliance on AI-generated content.

7. Data Ownership

Your data:You retain ownership of all compliance data you upload or create (assessments, scan results, policies, evidence, POA&Ms).

Our platform: Advisedly owns all platform intellectual property, algorithms, AI prompts, and aggregated/anonymized insights. You receive a limited, non-exclusive license to use the Platform during your subscription.

8. Data Handling & Portability

Your data is encrypted at rest and in transit, stored in the United States. Upon cancellation, you have a 30-day window to export your data in standard formats (JSON, CSV, PDF). After the export period, data is securely destroyed. See our Privacy Policy for full details.

9. Availability

We target 99.9% uptime excluding planned maintenance. Planned maintenance is announced with at least 24 hours' notice. We are not liable for downtime caused by circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Advisedly's total liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including damages arising from reliance on AI-generated content.

11. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or security concerns. Upon termination, you retain access to data export for 30 days.

12. Changes to Terms

We may modify these Terms with 30 days' notice via email or platform notification. Continued use after the effective date of changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Tennessee. Disputes are resolved through binding arbitration in Giles County, Tennessee under the rules of the American Arbitration Association.
